Introduction

These terms and conditions (“Agreement”) govern the use of the services offered by Developers Pool (“Developers Pool”, “us”, “we”, or “our”) to clients (“Client”, “you”, or “your”) seeking to hire dedicated IT resources through the Developers Pool ‘s website https://developerspool.com/ or other communication channels.

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Services.

We reserve the right, at our sole discretion, to amend, change, modify, revise or replace these Terms at any time by posting revised Terms on the Service.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service. We recommend that you review the Terms for any changes, so please check back here every time you use the Services.

Service Description

Developers Pool offers dedicated IT resource hiring services to Clients for a specific period. The Client can hire resources as mutually agreed between the Developers Pool and the Client.

Payment

The Client agrees to pay the Developers Pool the amount mutually agreed upon for the IT resources hired. Payment will be made in advance before the commencement of the hiring period. We reserve the right to suspend the services in case of non-payment.

Intellectual Property

All intellectual property rights to the work produced by the hired resources shall belong to the Client. The Client grants us a non-exclusive, non-transferable license to use the work solely for the purposes of providing the services to the Client.

Confidentiality

Developers Pool agrees to keep confidential all information related to the Client and its business that comes to its knowledge during the provision of services. Termination

The Client may terminate this Agreement at any time upon written notice to the Developers Pool. We may terminate this Agreement upon written notice to the Client if the Client breaches any of its obligations under this Agreement or if it becomes illegal for us to continue to provide the services.

Liability

Developers Pool will not be liable to the Client for any loss or damage arising from the provision of the services, except in the case of gross negligence or willful misconduct on the part of the Developers Pool. We will not be liable for any indirect or consequential loss or damage.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Illinois, United States, without regard to its conflict of law provisions.

By agreeing to these Terms, you give up all rights to a trial by jury in any legal proceedings related to or arising from these Terms, and this waiver is irrevocable.

Amendments

We reserve the right to modify these terms and conditions at any time. Any changes will be communicated to the Client by email or by posting a notice on our website.

Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements between them.

By using the Developers Pool’s services, the Client agrees to be bound by these terms and conditions.
